Board of Directors

The Board of EXIM Bank currently comprises ten Directors. Eight Directors are Independent Non-Executive Directors, whilst two are Non-Independent Non-Executive Director [Nominee of Minister of Finance (Incorporated) (MoF (Inc.) and Ministry of International Trade and Industry (MITI)].

All Directors have the skills and experience in their respective areas of expertise, which have contributed significantly to the decision-making process of the Board. The structure of EXIM Bank provides a clear separation on functions, roles and responsibilities between the Chairman of the Board and the President /Chief Executive Officer.

For financial year ended 2016, all Directors appointed to the Board, apart from attending Corporate Directors’ Training Programme accredited by Companies Commission of Malaysia, have also attended other relevant training programmes and seminars organized by the relevant regulatory authorities and professional bodies to further enhance their business acumen and professionalism in discharging their duties to the Bank.

BOARD COMMITTEES

There are five Board Committees established to assist the Board in discharging its duties and responsibilities, namely the Board Credit Committee, Board Audit Committee, Board Risk Committee, Remuneration Committee and Nomination Committee.

Datuk Mat Noor Nawi was appointed as Chairman of EXIM Bank effective 1 October 2015. His very first appointment in Civil Service was in 1981 and started his profession as an Administrative and Diplomatic Officer in 1983 in Economic Planning Unit (EPU), Prime Minister’s Department. During his 29 years period in the EPU, he has worked his way up to Deputy Director I and contributed most of his experiences to EPU.

Dato’ Rosli bin Mohamed Nor joined EXIM Bank as a Director in September 2009. Presently, he is also the Business Development Director of a company wholly owned by TRC Synergy Bhd., listed on Bursa Malaysia. He also sits on the Boards of ADS Projek Sdn. Bhd., Guomara Sdn. Bhd., KMK Plus Sdn. Bhd., KMK Ventures Sdn. Bhd. and Econpile Holdings Bhd.

Dato’ Agil Natt joined EXIM Bank as a Director in February 2012. Presently, he is also the Independent and Non-Executive Chairman of Credit Guarantee Corporation Malaysia Bhd. and Manulife Insurance Bhd. and sits on the Boards of Cagamas Bhd., Manulife Management Services Bhd., Sogo (KL) Department Store Sdn. Bhd., Sogo (KL) Sdn. Bhd. and Sumitomo Mitsui Banking Corporation Malaysia Bhd. He is also a Member of the Board of Trustees of Yayasan Tun Abdul Razak.

Dato’ Agil started his career in 1977 as Corporate Finance Manager with Bumiputra Merchant Bankers Bhd. before serving as Senior General Manager (Finance) at Island & Peninsular Bhd. in 1982. He then joined Kleinwort Benson Ltd. serving as its Regional Chief Representative.

Dato’ Sri Dr. Mohd Isa Hussain was appointed as a Director of EXIM Bank in May 2011. He currently serves as the Deputy Secretary General (Investment) in the Ministry of Finance Malaysia.

Ismail bin Mahbob was appointed as a Director of EXIM Bank in August 2012. Presently, he sits on the Board of Saudi Reinsurance Company (Saudi Arabia) and Bank of Tokyo-Mitsubishi UFJ (M) Bhd. Ismail has vast experience in the insurance industry both in Malaysia and overseas covering the main sectors of broking, retail insurance, reinsurance and retakaful. His career in insurance started in 1977 as a broker with Magnet Insurance Brokers, Kota Kinabalu.

In 1979 he joined Progressive Insurance Sdn. Bhd. where he served in various managerial positions until 1988, after which he moved to American Malaysian Insurance as an Assistant General Manager overseeing the company’s branch operations nationwide. In 1990, Ismail left for Malene CSB Insurance Brokers as a Senior Broker where he headed the non-energy section for six years.

Datuk Wong Seng Foo was appointed as a Director of EXIM Bank in October 2012. He also holds the post of Senior Director of Economic and Trade Relations Division of the Ministry of International Trade and Industry (MITI), a position he has held since 2009.

Since joining MITI in 1983, Datuk Wong Seng Foo has served in many capacities, whilst specialising in issues related to Malaysia’s participation in intra-ASEAN economic cooperation. He started out as Assistant Director attached to the ASEAN Economic Cooperation Unit of the International Trade Division where he was responsible for ASEAN regional trade initiatives and programmes, including the coordination of Malaysia’s participation in the ASEAN Dialogue Partners relating to trade and economic issues.

Tunku Afwida was appointed as a Director of EXIM Bank in August 2014. She currently sits on the Boards of Gamuda Bhd., Telekom Malaysia Bhd. and Lafarge Malaysia Bhd. She is also a Director and Shareholder of Benih Semaian Sdn. Bhd. and Asia Equity Research Sdn. Bhd. She is a Director and Board Committees’ member of i-VCAP Management Sdn. Bhd.

Datuk Syed Ahmad Helmy Bin Syed Ahmad was appointed as a Director of EXIM Bank in August 2015. Concurrently, he also holds a Non-Executive Independent Director post in AEON Malaysia Bhd. and as a Chairman for Advocates & Solicitors Disciplinary Board, positions he has held since 2013. Datuk Syed Ahmad Helmy has 40 years of experiences as a Legal Practitioner and Judicial Officer in Malaysia and Singapore which he specializes in corporate and litigation matter. He also has a comprehensive experience in advisory capacity and in the legal panels of Corporations, Government-Linked Companies (GLCs), State Government Agencies and Sports Bodies.
